Terms of Service

1. Acceptance

Circle X is operated by Circulus X Social – FZCO, a UAE free zone company licensed in Dubai Silicon Oasis. By submitting an application to Circle X and proceeding with a payment authorisation, you agree to be bound by these Terms of Service and the versioned membership offer presented before Stripe opens. Our Privacy Policy explains how we process personal data. If you do not agree, do not submit an application.

2. Membership & Eligibility

Circle X is a private membership network. Submission of an application does not guarantee membership. All applications are reviewed at the sole discretion of Circle X. We reserve the right to decline any application without providing a reason.

3. Application Payment Authorisation

When you submit a paid application, Stripe places a time-limited authorisation on your payment method for the amount shown before Stripe opens. For the 2026 paid lifetime founding offer, the one-time amounts are USD 400 for Circle, USD 1,000 for X, and USD 10,000 for No-One. An authorisation is not a charge, approval, membership entitlement, account, or access.

For that founding offer, a valid authorisation reserves priority within the controlled paid allocation while Circle X reviews the application. Human approval followed by confirmed capture of the authorised one-time amount grants the recorded lifetime entitlement. If the application is rejected, the authorisation is cancelled or released and no refund is issued because no charge was made. Your bank or card issuer controls how quickly a released hold disappears. If an authorisation expires before a decision, Circle X may invite you to authorise the payment again, subject to eligibility and availability.

4. Membership Fees and the Lifetime Founding Offer

The 2026 paid lifetime founding programme is limited to the first 5,000 qualifying paid founding members across Circle, X, and No-One. Every paid founding tier receives the same lifetime-access entitlement. The separately approved complimentary Founder accounts of Liam Glynn and Dragan Marinkovic, and records designated as mock or quality-assurance accounts, do not count towards that paid allocation.

A lifetime entitlement under the versioned 2026 Founding Member Agreement is personal, non-transferable and non-expiring for the operating lifetime of the Circle X membership service. It has no annual membership renewal date and does not create a recurring Stripe subscription. It does not guarantee that every present or future feature, event, partner service, third-party benefit, geography, device or service level will remain available or unchanged. Separately priced events, travel, partner services, taxes and third-party purchases are not included unless separate terms say otherwise. Payment, approval and entitlement do not activate account access; Circle X opens access separately.

Membership offers outside the recorded lifetime founding programme may have different terms, fees and renewals disclosed before purchase. Fees are non-refundable except where the applicable offer or law requires otherwise.

5. Member Conduct

Members must conduct themselves in a manner consistent with the values of Circle X. Where permitted by these Terms and applicable law, Circle X may suspend or terminate access for material breach, fraud, misuse, safety risk, unlawful conduct, sanctions or regulatory requirements, or serious harm to other members or the integrity of the network. A lifetime entitlement cannot be sold, assigned, inherited, transferred between accounts or converted to cash. Statutory rights that cannot lawfully be excluded remain unaffected.

6. Payment Processing

Payment processing is handled by Stripe, Inc. Your payment information is transmitted directly to Stripe and is never stored on Circle X servers. By submitting a payment, you also agree to Stripe's Terms of Service (stripe.com/legal). Circle X does not store full card numbers or CVV codes.

7. Privacy

Your personal data is collected and processed in accordance with our Privacy Policy, available at https://www.circlex.social/privacy. By submitting an application you consent to that processing.

8. Identity Verification

Approved applicants may be required to complete identity verification (KYC) before their member account is activated. Identity verification is conducted by a third-party provider. Payment, approval and a membership entitlement do not override this separate access condition. Failure to complete required verification may prevent or suspend account access, subject to the recorded offer, these Terms and applicable law.

9. Intellectual Property

All content on Circle X platforms — including design, copy, and member-facing interfaces — is the property of Circle X and may not be reproduced, distributed, or used without express written permission.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Circle X shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your membership or use of Circle X services. Our total liability for any claim arising under these Terms shall not exceed the amount you paid to Circle X in the 12 months preceding the claim.

11. Governing Law

These Terms are governed by the laws of the United Arab Emirates and the applicable regulations of Dubai Silicon Oasis, without regard to conflict of law principles. Any disputes shall be resolved only in the competent courts of Dubai, United Arab Emirates, unless mandatory law requires otherwise.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated to members by email at least 30 days before they take effect. Continued use of Circle X services after that date constitutes acceptance of the revised Terms.
